BYLAWS of the CAMBODIAN COMMUNITY of HAWAII (CCH)
PREAMBLE
The name of the organization covered by and bound to these bylaws shall be the Cambodian Community of Hawaii, a non-profit organization that provides assistance to all Cambodians in the state of Hawaii. The Cambodian Community of Hawaii will be involved in promoting and preserving the Khmer Culture and promoting interactions and understanding among people of Khmer heritage and those who bear interest in Cambodia and/or her culture and people. The Cambodian Community of Hawaii is based in Honolulu, on the island of Oahu, but welcomes inquiries from Cambodians from all islands in the state of Hawaii and throughout the United States.
Article I-Name
The name of the organization shall be the Cambodian Community of Hawaii. It is also abbreviated in this document as CCH.
Article II-Purpose
The Cambodian Community of Hawaii (CCH) is a non-profit organization dedicated to promoting and preserving Khmer (Cambodian) culture, to supporting interaction and understanding among those who bear interest in Cambodia and her culture and people, and to enhancing the quality of life of Cambodians and Cambodian Americans regardless of political affiliation, race, sex, or religion. CCH's activities include education, training, and community collaboration. Based in Honolulu, the CCH serves Cambodians and Cambodian Americans throughout the state of Hawaii.
Article III-Memberships
Section 1 - Membership is open to all who bear interest in Khmer culture, history, language, and people as follows: active, associate, and honorary.
Section 2 - Types of membership shall consist of active, associate, and honorary memberships, defined as follows:
A. Active membership requires that the member be registered with the Cambodian Community of Hawaii, as an individual living in the State of Hawaii (any island) and of Khmer heritage.
B. Associate membership shall apply to Cambodians in other areas of the United States or abroad, but not presently in Hawaii. They shall have the same requirements and privileges as active members, except that associate members may not hold office.
C. Honorary membership may be conferred upon an individual who provides exceptional support, guidance and contribution to the Cambodian Community of Hawaii and is chosen by the CCH officers for this honor.
Article IV- Executive Officers
Section 1 - The Executive Board will consist of the following officers:
A. President
B. Vice-President
C. Secretary
D. Treasurer
Section 2 - Qualifications:
A. The President of the Cambodian Community of Hawaii shall be a resident of the state of Hawaii and live and/or work within the state of Hawaii. In order to communicate with both English-speaking and Khmer-speaking community members and guests, the President should be able to speak both English and Khmer (Cambodian).
B. The Vice-president shall be a resident of the state of Hawaii and be able to speak both English and Khmer.
C. Each of the officers should live at least part-time in the state of Hawaii, as they will be required to attend meetings held within the state.
D. Each of the officers should hold genuine interest in promoting the Khmer culture through education, organization of community events, professional development, and other activities.
Section 3 - Duties of Officers:
A. The President shall preside over the entire Executive Board and both executive and general meetings of the organization. The President shall enforce the CCH policies and rules of the organization.
B. The Vice-President shall assist the president in his /her duties and perform the tasks of the President in his/her absence.
C. The Secretary shall be responsible for recording official CCH business, such as meetings, proposed amendments to the bylaws, and so forth, and other administrative business, including communicating with the larger Honolulu and state of Hawaii community officials and representatives. The Secretary shall also be responsible for issuing press releases and other pertinent documents.
D. The Treasurer shall be in charge of all financial matters of the organization including the funds of the organization, sign all checks, and keep an account of all the transactions of the organization (deposits, expenditures, donations, etc).
Section 4- Appointed Positions:
In addition to the Executive Board, the President shall appoint representatives for various geographic areas, and one or more Advisors/Consultants to assist the Board.
Section 5 - Termination and Reinstatement:
Any officer who does not comply with his/her assigned responsibilities may be relieved of office by a two-thirds majority vote by the active members. Reinstatement of a terminated officer shall occur only by re-nomination by an active community member, followed by an all-community vote, which must obtain a two-thirds majority vote in favor of reinstatement.
Section 6 - Vacancies:
Upon nomination by any active member, a candidate must receive a two-thirds affirmative majority vote by the active members in order to be confirmed as a CCH officer.
Section 7 - Term and Office:
A. Officers shall hold a term of office of two calendar years.
B. Officers may run for re-election at the end of the current term.
C. There is no limit to the number of terms an individual may serve as an officer.
Article V-The Executive Board
Section 1 - The Executive Board shall consist of the President, the Vice President, the Secretary, and the Treasurer.
Section 2 - The Executive Board shall handle the regular business of the organization.
Article VI-Elections
Section 1 - Only active members, who meet the qualifications listed in Article III, Section 2, shall be eligible to run for office.
Section 2 - Election of all officers for the upcoming year shall be held during the month of January, such that the officers can plan for the Khmer New Year celebration in April. All members shall be notified regarding the election.
Article VII-Meetings
Section 1 - Executive Board meetings shall be held monthly and are open to only officers and invited guests.
Section 2 - General meetings are open to all members. Meeting are arranged and scheduled by the Executive Board.
Article VIII-Finances
Section 1 - Authority:
A. The bank account shall be named under the organization.
B. No more than two representatives of the CCH shall have the right to access the bank account under the President's authority.
C. All transactions shall be recorded by the CCH Treasurer.
Section 2 - Plans of budget:
A. All expenditures shall be spent for the purposes of the CCH organization only.
B. All major expenditures ($200 or more) must be approved by at least two-thirds of the Executive Board.
C. All expenditures will be reported by the Treasurer and recorded by the Secretary for CCH records.
Article IX- Amendments
Section 1 - The bylaws may be amended or revised by an affirmative vote of two-thirds of all active members at a meeting designed for that purpose. Copies of proposed amendments shall be provided to all members in writing or other appropriate through media or other communication at least one week prior to said meeting.
Section 2 - The name of the organization shall not be changed, used or formatted into any other form without the written permission of the Executive Board.
